Terms of Service

Effective and last updated: August 27, 2026

1. Introduction

These Terms of Service (“Terms”) govern access to the website and technology services of Erudite Prestige Technology Firm (“Erudite Prestige”, “we”, “us”, or “our”), a technology business operating in Ghana. They should be read with any quotation, statement of work, invoice, service-level agreement, or other written agreement applicable to a service.

2. Acceptance of Terms

By using our website, creating an account, requesting or ordering services, approving a quotation, or making a payment, you agree to these Terms. If you act for an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the relevant service.

3. Description of Services

We may provide software, web application and website development; business, POS, HR and school management systems; custom software; IT consulting and implementation; maintenance and support; cloud-based and subscription services; computer services; and related technology services. Availability and scope vary and are defined in the applicable written proposal or order.

4. Eligibility and User Responsibilities

You must have legal capacity to enter an agreement and provide complete, accurate and current information. You are responsible for lawful use of our services, safeguarding devices and credentials, maintaining appropriate backups, and complying with applicable laws and third-party licences.

5. User Accounts

Where an account is provided, you must keep login details confidential and notify us promptly of suspected unauthorised use. You are responsible for activity under your account unless caused by our failure to use reasonable security measures. We may require identity or authority verification.

6. Orders and Service Requests

A website enquiry or appointment request is not acceptance of an order. Work begins after we confirm scope, price and any required deposit. Changes may affect fees, timing and deliverables and should be agreed in writing.

7. Pricing and Payments

Prices are stated in the applicable quotation, invoice or checkout and may be fixed, milestone-based, time-based or recurring. Unless otherwise stated, invoices are due by the specified date. We may pause work or access after reasonable notice when undisputed amounts are overdue.

8. Online Payments

Online payments must be authorised by the account holder. You must provide accurate billing information and ensure sufficient funds. A payment is complete only after confirmation from the payment processor; bank or network delays may affect confirmation.

9. Paystack Payment Processing

We may use Paystack or another third-party processor to handle online payments. Payment details submitted at checkout are processed under that provider’s terms and privacy practices. We do not receive or store your full debit or credit card number. Processor availability, verification, limits and fees may apply.

10. Subscription Services

Where offered, subscriptions provide access for the plan and billing period selected, subject to usage limits and service-specific terms. You must maintain a valid payment method. Features and plan limits may change on reasonable notice, without reducing a prepaid period’s core service except where necessary for security or law.

11. Renewals and Cancellations

Subscriptions may renew automatically only when disclosed at purchase. You may cancel future renewal through the stated account method or by contacting us before the next billing date. Cancellation stops future billing but does not ordinarily reverse a completed billing period. Project cancellations are governed by section 13 and our Refund & Cancellation Policy.

12. Refund Policy

Refund eligibility depends on the service, progress made, costs incurred, and reason for the request. Duplicate payments and confirmed processor errors will be reviewed promptly. Details, including how to request a refund, appear in our Refund & Cancellation Policy. Nothing in that policy limits rights that cannot lawfully be limited.

13. Project Deposits and Custom Development Work

Deposits reserve capacity and fund discovery, procurement and initial work. Once work or non-recoverable procurement begins, a deposit may be applied to completed work and committed costs and may not be refundable. If a project ends early, we will account for completed milestones, time spent and authorised expenses; any refundable balance will be determined fairly from those amounts.

14. Delivery of Software and Digital Services

Delivery occurs through deployment, account access, file transfer, repository access, demonstration, or another agreed method. Timelines are estimates unless expressly guaranteed in writing. You should review deliverables within the stated acceptance period and report material non-conformities with enough detail for us to assess them.

15. Client Responsibilities

You must provide timely decisions, content, access, licences, credentials, data and feedback needed for delivery. You confirm you have rights to materials supplied to us. Delays, incomplete information or scope changes may require revised dates and fees.

16. Intellectual Property Rights

Each party retains its pre-existing intellectual property. We retain our general know-how, methods, tools, templates and reusable components. You grant us a limited licence to use materials you provide solely to deliver and support the agreed services.

17. Ownership of Custom Software

Ownership and licensing of custom deliverables will be stated in the project agreement. Unless that agreement says otherwise, after full payment you receive a licence to use the bespoke deliverable for its agreed purpose; our pre-existing and reusable components remain ours and third-party components remain subject to their own licences. Any agreed assignment takes effect only after full payment.

18. Third-Party Services and Integrations

Services may depend on hosting companies, cloud platforms, open-source software, APIs, telecom networks, payment processors and other third parties. Their terms, charges and availability apply separately. We are not responsible for third-party changes or outages outside our reasonable control, but will use reasonable care when selecting or integrating them.

19. Acceptable Use

You may use services only for lawful, authorised purposes and within documented limits. You must respect privacy, intellectual property, security controls and the rights of others.

20. Prohibited Activities

You must not introduce malware; probe or bypass security; gain unauthorised access; disrupt systems; send unlawful or abusive content; infringe rights; commit fraud; reverse engineer where prohibited by law or licence; resell a service without permission; or use our services to facilitate illegal activity.

21. Data Protection and Privacy

We handle personal information as described in our Privacy Policy. Where we process personal data for a client, additional written data-processing terms may apply. Clients remain responsible for lawful collection and instructions regarding data they provide.

22. Service Availability

We aim to provide reliable services but do not promise uninterrupted or error-free access unless a written service-level agreement states otherwise. Availability may be affected by internet conditions, third parties, emergencies and events beyond reasonable control.

23. Maintenance and Updates

We may perform planned or urgent maintenance and install security, compatibility and performance updates. Where practical, we will give advance notice of material planned interruption. Client-requested upgrades outside an agreed support plan may be separately charged.

24. Limitation of Liability

To the extent permitted by Ghanaian law, neither party is liable for indirect or consequential loss, lost profits, lost opportunity or loss caused by circumstances outside reasonable control. Our aggregate liability for a claim connected with a service will not exceed the amount paid for that specific service during the twelve months before the event. This does not exclude liability that cannot lawfully be excluded or limited.

25. Warranties and Disclaimers

We will perform services with reasonable care and skill. Except for express written commitments and rights implied by law, services are provided without additional warranties. Estimates, prototypes and third-party outputs may not be error-free, and you remain responsible for business decisions, backups and verifying that deliverables meet your intended use.

26. Termination

Either party may terminate as allowed by the applicable agreement. We may suspend or terminate for material breach, unlawful use, security risk, abuse or non-payment after appropriate notice where practicable. On termination, accrued charges remain due and each party must return or delete confidential material as agreed, subject to legal retention duties.

27. Changes to the Terms

We may revise these Terms to reflect service, legal or operational changes. The updated version and date will be posted here. Material changes will apply prospectively and, where appropriate, will be communicated through the website, account or email. Existing signed project terms remain controlling for that project unless law or mutual agreement requires otherwise.

28. Governing Law

These Terms are governed by the laws of the Republic of Ghana, without making any representation about the law that may apply mandatorily in another location.

29. Dispute Resolution

Please contact us first with full details of a concern. The parties will attempt in good faith to resolve it through direct discussion. If unresolved, either party may pursue remedies available under Ghanaian law through a court of competent jurisdiction or another dispute process agreed in writing.

30. Contact Information

Questions about these Terms may be sent to info@eruditeprestige.com, by telephone at 0243572324, or through our Contact Us page. Location: Accra, Ghana.

31. Effective Date

These Terms are effective from August 27, 2026 and were last updated on that date.
